1. INTRODUCTION AND ACCEPTANCE
1.1. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, the User, and Vidhvantri Technologies LLP, a Limited Liability Partnership registered under the Limited Liability Partnership Act, 2008, having its principal office at Tower 6, Flat 054, DLF Gardencity, Semmancherri, Chennai - 600130, Tamilnadu, India (“Vidhvantri”, “we”, “us”, “our”, or “Provider”). These Terms govern your access to and use of FluxLMS (“Platform”), a cloud-based learning management and course marketplace operated by Vidhvantri.
1.2. By accessing, registering for, subscribing to, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, the Fair Use Policy, the Purchase Policy, and the Refund Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
1.3. FluxLMS provides digital tools for course creation, delivery, learner management, and reporting, acting primarily as an intermediary marketplace. FluxLMS explicitly does not collect, process, or settle enrolment fees or any other financial transactions directly between students and instructors. All such payments occur externally and independently of the Platform, for which Vidhvantri bears no responsibility or liability.
1.4. These Terms supersede all prior communications, representations, or agreements, whether oral or written, between you and Vidhvantri concerning the Platform.
2. DEFINITIONS
2.1. User: Any individual or entity accessing or using the Platform, including students, instructors, institutions, and administrators.
2.2. Instructor: A User who publishes, manages, or offers courses for sale through the Platform.
2.3. Student: A User who enrols in courses offered by instructors.
2.4. Platform Usage Fee: Subscription or usage-based fees charged by Vidhvantri to Instructors or institutions for access to Platform features and services.
2.5. External Payment: Any payment made outside the Platform directly between a Student and an Instructor for course enrolment or related services.
2.6. Content: Any data, materials, or information uploaded, created, or shared by the User on the Platform, including course materials, assignments, assessments, and user-generated inputs.
2.7. Platform: The FluxLMS Software-as-a-Service (SaaS) product and all associated services, interfaces, APIs, and functionalities.
3. SCOPE OF SERVICES AND INTERMEDIARY STATUS
3.1. FluxLMS is provided solely as a digital platform and marketplace for learning management. Vidhvantri's role is strictly limited to:
(a) Hosting and maintaining the platform infrastructure.
(b) Providing technical support and updates for the Platform.
(c) Ensuring platform availability on a commercially reasonable basis, subject to a 99.9% monthly uptime SLA (excluding scheduled maintenance).
(d) Offering tools for course authoring, assignment, assessment, student management, and analytics dashboards.
(e) Providing a workflow for Instructors to track externally received payments and for Students to upload payment proof for Instructor review.
3.2. FluxLMS does not:
(a) Provide educational content, certification, or accreditation.
(b) Offer pedagogical, instructional, legal, financial, or professional advice.
(c) Collect, process, or hold any course enrolment fees or other financial transactions between Students and Instructors.
(d) Verify the authenticity, legality, or sufficiency of External Payments.
(e) Mediate financial disputes, issue receipts, or process refunds for Instructor-Student transactions.
(f) Guarantee Instructor earnings or Student outcomes.
3.3. Intermediary Status: Vidhvantri operates FluxLMS as an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000. As such, Vidhvantri's liability for third-party information, data, or communication links hosted on the Platform is governed by Section 79 of the Information Technology Act, 2000. Vidhvantri shall not be liable for any third-party content or transactions, including External Payments, provided it observes due diligence and complies with its obligations under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
4. MARKETPLACE MODEL AND PAYMENT WORKFLOW
4.1. Instructors utilize FluxLMS as a marketplace platform to publish, manage, and offer their courses. Students engage with Instructors directly for course enrolment.
4.2. Students are required to pay Instructors directly for course enrolment, using methods such as UPI, PhonePe, bank transfer, or any other external payment method agreed upon between them. Vidhvantri is not a party to these financial transactions.
4.3. Students may upload proof of payment (e.g., transaction ID, date, amount, screenshot) to the Platform. This functionality is provided solely for the instructor’s review and record-keeping. Vidhvantri does not verify the authenticity or validity of such payment proofs.
4.4. Instructors are solely and exclusively responsible for: (a) Verifying the receipt and authenticity of all External Payments; (b) Approving or rejecting Student enrolment based on payment verification; (c) Issuing any refunds to Students for course fees; (d) Handling all disputes, grievances, or chargebacks related to course enrolment fees; (e) Complying with all applicable tax laws, including GST, related to their course earnings.
4.5. The payment-proof workflow and reporting interface provided by FluxLMS are purely administrative tools for Instructors and do not imply any financial involvement or liability on the part of Vidhvantri in the Instructor-Student payment process.
5. PLATFORM USAGE FEES
5.1. Students, Instructors and institutions are required to pay subscription or usage-based fees ("Platform Usage Fees") to Vidhvantri for accessing and utilizing the features and services of the Platform. These fees are billed by Vidhvantri and are entirely separate from, and unrelated to, any course enrolment fees paid by Students to Instructors.
5.2. Non-payment of Platform Usage Fees within three (3) calendar days of the due date may result in the temporary suspension of your account. Persistent non-payment for thirty (30) days may lead to the permanent termination of your account and revocation of access, with data deletion in accordance with the Privacy Policy.
5.3. Vidhvantri reserves the right to revise pricing, features, or access terms for Platform Usage Fees with thirty (30) days' prior notice. Continued use of the Platform after such notice constitutes acceptance of the revised terms.
6. DATA OWNERSHIP AND INTELLECTUAL PROPERTY
6.1. All Content, data, course materials, assessments, and user-generated inputs uploaded or created by Users on the Platform remain the sole and exclusive property of the respective Users. Users retain full intellectual property rights over their Content and are responsible for ensuring compliance with copyright, trademark, and other applicable laws. Vidhvantri does not claim ownership over any User Content.
6.2. Users grant Vidhvantri a limited, non-exclusive, royalty-free, worldwide license to host, display, process, and transmit Content solely for the purpose of delivering the Platform's services, including making it available to other Users as intended by the instructor. This license terminates upon the deletion of the Content or termination of the User's account, subject to data retention policies.
6.3. Vidhvantri retains all rights, title, and interest in and to the Platform software, its user interface (UI/UX), APIs, trademarks, service marks, and all underlying technology and intellectual property. Users are granted a non-transferable, non-sublicensable, revocable license to use the Platform during the subscription term, strictly in accordance with these Terms.
7. USER RESPONSIBILITIES AND MARKETPLACE CONDUCT
7.1. Users agree to: (a) Provide accurate, complete, and current information during registration; (b) Independently verify all External Payments if acting as an Instructor; (c) Maintain account confidentiality; (d) Comply with laws; (e) Refrain from hosting malicious/infringing content; (f) Avoid resource abuse or scraping; (g) Ensure accurate course listings; (h) Report abuse to support@fluxlms.com.
7.2. Instructor Code of Conduct: Instructors are expected to maintain high standards of professionalism and integrity. This includes accurately representing course content, promptly responding to student inquiries, fairly resolving disputes, and adhering to legal/ethical obligations. Fraudulent activities or misrepresentation may result in immediate account suspension or termination.
8. PLATFORM AVAILABILITY AND LIMITATIONS
8.1. FluxLMS is hosted on AWS enterprise-grade infrastructure with geo-redundant storage in the AWS Mumbai region (ap-south-1). The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied.
8.2. Vidhvantri does not guarantee uninterrupted service or error-free operation. Scheduled maintenance will be announced 48 hours in advance; emergency maintenance is exempt from this notice period.
8.3. Vidhvantri shall not be liable for downtime, performance degradation, or data loss due to maintenance, upgrades, force majeure, or third-party provider infrastructure failures.
9. LIMITATION OF LIABILITY AND INDEMNIFICATION
9.1. To the maximum extent permitted by law, Vidhvantri shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from: (a) Platform use or inability to use; (b) Third-party conduct or content; (c) External Payments, fraudulent transactions, or enrolment disputes; (d) Unauthorized access to or alteration of transmissions.
9.2. In no event shall Vidhvantri's aggregate liability for all claims relating to the Platform exceed the total Platform Usage Fees paid by you to Vidhvantri in the twelve (12) months preceding the date of the claim.
9.3. You agree to indemnify, defend, and hold harmless Vidhvantri from and against any claims, damages, losses, or expenses arising out of your breach of these Terms, misuse of the Platform, or violations of third-party rights.
10. TERMINATION
10.1. Termination by User: You may cancel your subscription to the Platform at any time via the self-service portal or by providing written notice to admin.fluxlms@vidhvantri.in. Such cancellation will be effective at the end of your current billing cycle.
10.2. Termination by Vidhvantri: Vidhvantri may suspend or terminate your account immediately without notice if you breach material provisions, engage in fraudulent activities, or as required by governing public authorities.
10.3. Effect of Termination: Upon termination, your right to use the Platform ceases immediately, and content is deleted in accordance with the Privacy Policy. Survival provisions apply to Sections 6, 9, 11, 12, 13, 14, 15, and 16.
11. MODIFICATIONS
11.1. Vidhvantri reserves the right to modify or discontinue any part of the Platform or these Terms. Material changes will be notified via email or a prominent announcement 15 days prior to enforcement.
12. GLOBAL COMPLIANCE
12.1. FluxLMS is designed to comply with data protection standards, including GDPR, India's IT Act, 2000, and the Digital Personal Data Protection Act, 2023. Users are responsible for local legal adherence.
13. COMMUNICATIONS AND CONSENT
13.1. By using FluxLMS, you consent to receive transactional, informational, and promotional communications. Transactional notices cannot be opted out of, while promotional settings can be updated at any time.
14. FORCE MAJEURE
14.1. Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, civil unrest, pandemics, infrastructure failures, or cyberattacks.
15. GOVERNING LAW AND JURISDICTION
15.1. These Terms shall be governed by and construed in accordance with the laws of India. The exclusive jurisdiction for any dispute arising out of these Terms shall lie with the competent courts in Chennai, Tamil Nadu, India.
16. MISCELLANEOUS
16.1. These Terms constitute the entire agreement. If any provision is held invalid, the remainder continues in full force. Assignment requires prior written consent from Vidhvantri.
